Vadonaa Terms and Conditions of Use
These terms are a contract between you and Vadonaa. We wrote them to be understood, not to be signed without reading. If anything is unclear, write to us at soporte@vadonaa.com.
I. Who we are and what you accept
- Vadonaa (the "app") is a service of Vadonaa, S.A.S. de C.V. ("Vadonaa", "we"), a Mexican company with tax ID (RFC) pending and registered address at Colima, Colima, Mexico. For anything at all: soporte@vadonaa.com or the phone number pending, Monday to Friday during office hours (Mexico City time).
- By checking the box "I accept the Terms and Conditions" when you create your account, you accept these terms. That tap counts as your signature under articles 89 to 93 of the Mexican Commercial Code. We keep the record: which version you accepted, when, in which language, from which version of the app and from which internet address.
- If you don't agree with something in these terms, don't create the account and don't use the app.
- These terms go together with our Privacy Notice (vadonaa.com/en/privacy). Everything we do with your data is there.
- To use Vadonaa you must be 18 or older and have legal capacity to contract. By accepting, you declare that this is so.
- These terms are a contract of adhesion. Nothing in them takes away a right that Mexico's Federal Consumer Protection Law (LFPC) treats as non-waivable.
II. What Vadonaa is and what it isn't
- Each week, Vadonaa suggests an exercise program built by Vadonaa's AI from what you tell us: your level, your goal, how many days you want to train, whether you train at a gym or at home, and which areas of your body you'd rather not load. Then it helps you log what you do and see whether you met your week.
- Vadonaa is not a doctor, a physical therapist, a nutritionist or an in-person trainer. It doesn't examine you, doesn't diagnose you, doesn't treat injuries or illnesses, and doesn't replace the advice of a health professional.
- Vadonaa is not a medical device or a health service. It is a routine proposal and a tool to measure your consistency.
- The program is a general suggestion. It is built from the information you give us, but it cannot know your full health status. You decide what to do with it.
- We don't guarantee results. Not weight loss, not muscle gain, not any change in your body or your health. That depends on your consistency, your rest, your food and where you start from. What we do promise is that every week you'll know what to do.
III. Your health and your safety
- Exercise carries risks, including injuries and, in rare cases, serious problems. You train at your own risk. You decide whether you do each exercise, with what weight, at what intensity and with what technique.
- If any of the situations in the health notice applies to you (a doctor has told you that you have a heart condition or high blood pressure; you feel pain or pressure in your chest; you've fainted or lost your balance because of dizziness in the past year; you have another chronic condition or take medication for one; you have an injury, bone or joint pain that could get worse, or you're recovering from surgery; you're pregnant or had a baby recently; or a doctor told you to exercise only under supervision), talk to a doctor before you start. Your program will be here when you're ready. Your program isn't adapted to pregnancy, the postpartum period or any medical condition.
- Listen to your body. If you feel chest pain or pressure, a racing or irregular heartbeat, dizziness, shortness of breath that doesn't ease, or any sharp pain, stop. If it doesn't pass, get medical help. In an emergency, call 911 (in Mexico and in the United States).
- The areas you mark (knee, lower back, shoulder, neck, wrist) keep you from getting exercises that usually demand the most from that area. They help, but they don't remove the risk. If your area isn't on the list, mark "Other": your routine doesn't change because of that option, and we recommend talking to a professional before you train.
- The videos and instructions are illustrative. They show the general idea of the movement, not the perfect technique for your body. If you're unsure how to do an exercise, ask a coach.
- Keep your data up to date. If something about your health changes and affects how you train, update your areas in Profile.
- Warming up properly before each session is part of your responsibility. In every session we show you a warm-up guide of about 15 minutes. It is a general guide: it isn't personalized or adapted to your health, and it doesn't replace what a professional tells you. You decide how and how much of it to do; we don't see or supervise how you do it. If you have an injury or a condition, talk to a professional before you train and before you follow that guide. This doesn't remove what is ours to answer for (chapter XV) or your rights as a consumer.
IV. Your account
- You need an account. You create it with your email and a password, or with "Continue with Apple" or "Continue with Google". The account is personal: don't share it, lend it or sell it.
- Take care of your password and of the access to your Apple or Google account. What happens with your account is your responsibility, unless you tell us about a use you didn't authorize and we fail to act. If you suspect something, change your password and write to us.
- Tell us the truth when you register and when you answer your profile questions. A program built on false data may not be right for you.
- You can delete your account whenever you want from Profile → Delete account. It is deleted right away, with your history. What happens with your data is in the Privacy Notice. Deleting the account doesn't cancel the subscription in the app store (App Store or Google Play): that is done as chapter VIII says.
V. Vadonaa's AI
- Your weekly program is built by Vadonaa's AI. To do so we use a model from Anthropic, PBC, in the United States, which works for us as a processor and under our instructions: it may only use what we send it to generate your program, with a duty of confidentiality, and under its commercial terms it does not train its models on what we send.
- What the model receives: your level, your goal, your sessions per week, how much time you have per session, your equipment (gym, home or both), the areas you marked from the list (as labels only), a summary of what you did without data that directly identifies you (which sessions you met, which exercises you tend to complete or skip, which muscles you're missing) and the maximum weight you logged per exercise in recent weeks.
- What it never receives: your name, your email, your age, any identifier that leads to you, and any text you've written.
- The model only chooses exercises from our catalog, which a person reviews. It doesn't invent exercises or write instructions. We validate every answer before showing it to you.
- We only use the AI if you gave us your express consent to do so. You can withdraw it from Profile → Privacy; without it, your program is built with our rules, without AI, and we'll tell you so clearly.
- Your subscription includes four adjustments per week to your program, chosen from a list of options. Swapping an exercise your gym doesn't have or moving a session home doesn't use those adjustments: the catalog solves it, without AI, instantly. Also, once a month you can rebuild your week with your profile up to date; that doesn't use your adjustments either.
- AI can make mistakes. Review your program with judgment and, if something doesn't make sense to you, change it or ask a professional.
VI. Content and videos
- The exercise videos are generated with artificial intelligence tools and reviewed by a person before entering the catalog. They are a visual guide, not a class with a trainer.
- We may add, change or remove exercises and videos to improve the catalog. If an exercise you used disappears, your next program is built with the ones available.
- The instructions, names, descriptions and texts in the app are general exercise content, not instructions for your case.
VII. Subscription, free trial and athlete codes
- Vadonaa works with a paid subscription. Without a current subscription (or a current free trial) you can't use the app. There is no free version.
- There are two plans: monthly and yearly. Both include the same; the period length and the price change.
- 14-day free trial. Both plans start with 14 days free for first-time subscribers. During the trial you use the full Vadonaa. When the 14 days end, the app store where you subscribed (App Store or Google Play) charges the first period to your account automatically, unless you cancel at least 24 hours before the trial ends. If you cancel during the trial, you're not charged anything and you can keep using the app until the trial ends. Five days before the trial ends, we email you the date and the amount of the first charge.
- The free trial is an offer of the app store: one per Apple ID in the App Store and one per Google account in Google Play. If you already used it, the paywall shows it and the subscription starts with the charge. Who is eligible for the trial is decided by each store under its rules, not by us.
- Athlete codes. Some people who collaborate with Vadonaa ("partner athletes") share a code. If you type it in the app, on the "Have a code?" screen of the paywall, you get one month free instead of 14 days. After the month, the subscription costs the same as for everyone.
- Athlete codes are App Store offer codes or Google Play promo codes: they only work for first-time subscribers, one per Apple ID or Google account, under the conditions each store applies when redeeming them (in Google Play, each code also has an expiration date). No one may sell you a code or charge you for it. If someone asked you for money for a code, tell us at soporte@vadonaa.com.
- Both the 14-day trial and the code month turn into a paid subscription with automatic renewal when they end, unless you cancel first (chapter VIII).
- Your subscription goes with your Apple ID or your Google account, not with your Vadonaa email. If you have more than one Vadonaa account under the same Apple ID or Google account, only one has the subscription at a time: tapping "Restore purchase" from another account moves the subscription to that account, and the previous one loses access without losing its data (it is kept as chapter VIII says). The free trial is also one per Apple ID or Google account, even if you have several Vadonaa accounts.
VIII. Automatic renewal, how to cancel, and end of period
- Your subscription renews on its own at the end of each period (every month or every year, depending on your plan), at the plan's current price, until you cancel it. It is a recurring charge to your app store account (App Store or Google Play), and we tell you so here, on the paywall and on the store listing, in line with article 76 Bis of the LFPC.
- Notices before we charge. If you're on the yearly plan, we email you 30 days before each renewal. If you're on the monthly plan, at least five days before each charge, including the first one when the free trial or the athlete-code month ends. Each notice says the date, the plan, how often it repeats, the amount the store will charge you as the store reported it to us (plus any tax the store applies), and how to cancel. When you subscribe, we email you these conditions and how to cancel, so you can keep them. If we change your plan's price, we email you 7 to 30 days before the new price applies, and you can cancel before then. The store also notifies you under its own rules. If you don't want to continue, you can cancel before that date without any penalty (point 3).
- How to cancel, in two places:
- From the app: Profile → Manage subscription. It opens your store's subscriptions page (Apple or Google Play) and you cancel there.
- From your phone: on an iPhone, Settings → your name → Subscriptions → Vadonaa → Cancel subscription; on Android, Google Play → your profile → Payments & subscriptions → Subscriptions → Vadonaa → Cancel subscription. No need to call, write or explain. Cancellation takes effect immediately: the subscription stops renewing.
- Cancel at least 24 hours before the period or the trial ends so the next one isn't charged. If you cancel later, the store will already have charged the next period and you use it in full.
- When you cancel, you keep access until the end of the period you already paid for. There are no partial charges or refunds for the days you don't use, except as the law says and as chapter X, point 6 says.
- We respect what you paid. Your next week can be generated from the previous Sunday while your subscription is current at that moment. If your subscription ends in the middle of a week that was already generated, you can finish that week. The paywall appears when you open the following week.
- If your subscription ends, we keep your data for 12 months so you can come back where you left off. We email you 30 days and 7 days before deleting it. You can request deletion sooner from Profile → Delete account.
- If your payment fails, the store retries under its rules. While it retries within its grace period, you keep using the app; if in the end the store can't collect, the app returns to the paywall and your data is kept as point 7 says.
IX. Price and price changes
- The current price is the one shown in the app store (App Store or Google Play) and in the app, before you confirm your subscription, with the period length, the date the trial ends and the date of the first charge. Prices are set in US dollars. The store shows them in your currency (in Mexico, in pesos) and with taxes already included where the law of your country requires it, such as VAT in Mexico. What you see on the purchase screen is the total you pay.
- Since the store makes the charge, the total you pay is shown on its purchase screen, before you confirm.
- We may change the price going forward. A price change never touches a period you already paid for. If we change your plan's price, we email you 7 to 30 days before it applies (chapter VIII, point 2); the store also notifies you before the next renewal and, when its rules require it, asks you to accept it. If you don't accept it, your subscription doesn't renew and you keep access until the end of the period you already paid for. You can also cancel at any time before the renewal.
X. Charges and refunds
- Charges are processed by the app store where you subscribed: Apple (App Store) or Google (Google Play), through in-app purchases. We don't see or store your card details. Each store is responsible for your payment data under its own terms and privacy notice.
- To manage subscriptions we use a provider that reads the store receipts and tells us whether your subscription is current. That provider doesn't touch your money.
- Refunds. The purchase is processed by the store where you subscribed, and so is the refund: you request it from that store and the store decides under its policies, without prejudice to the rights the law gives you (point 5) and to the cases in which we refund you ourselves (point 6). If you write to us at soporte@vadonaa.com, we'll tell you how to request it.
- If you subscribed in the App Store: request it from Apple, at reportaproblem.apple.com or from your Apple account. If you request a refund from Apple, Apple asks us whether you received and used the service. We answer only with categories (how long you've had the account, whether your week was built, whether you trained, and whether there were refunds before), never with your health data.
- If you subscribed in Google Play: request it from Google Play, at play.google.com or in the Google Play app: your profile → Payments & subscriptions → Budget & order history → the order → Report a problem.
- If the store refunds a charge (Google Play, for example, shortly after the purchase), we honor it: your subscription ends at that moment.
- That is why the free trial exists: so you can try the full Vadonaa before anything is charged.
- Nothing in this chapter limits the rights the LFPC gives you that cannot be waived. If Vadonaa fails to deliver what it offered, you have the right to what the law provides, including the compensation under article 92 Ter.
- When we refund you ourselves. Although refunds are requested from the store, there are cases in which we refund your money or compensate you ourselves, even if the store says no: (a) if you were charged because of a mistake of ours; (b) if the service didn't work for reasons attributable to us during a significant part of your period; (c) if we close Vadonaa or close your account without you having breached these terms; (d) if we remove something essential from what you paid for (chapter XIV). In Google Play we do it from the store itself. In the App Store, if Apple doesn't refund it, we pay you directly, by bank transfer, the proportional part of the period you couldn't use, plus the compensation under article 92 Ter of the LFPC where it applies. Write to us at soporte@vadonaa.com.
XI. Partner program and athlete codes
- A partner athlete is a person who collaborates with Vadonaa and shares their athlete code with their audience. Vadonaa pays them a commission for each person who arrives with their code and becomes a paying customer. Vadonaa pays that commission, not you: your subscription price is the same with or without a code.
- Partner athletes are not employees, shareholders or representatives of Vadonaa. But when they publish something about Vadonaa in exchange for their commission or a payment, it is Vadonaa's advertising: it has to say clearly, from the start and in every post, that it is paid (for example, #PaidPartnership), and Vadonaa answers for it under the law.
- We require them by contract not to promise results, not to make health claims and not to state the price. If you see a post that doesn't comply or doesn't say it's paid, tell us at soporte@vadonaa.com: we correct or remove it, and anything promised to you beyond these terms we resolve with you.
- Codes are not sold, raffled or conditioned on buying anything else. A code obtained that way doesn't earn the commission and may be voided in the store.
- If you are a partner athlete, your relationship with Vadonaa is governed by your collaboration agreement, not by this chapter.
XII. Acceptable use
- Use Vadonaa for yourself, to train. Don't use it for illegal purposes or to give health advice to other people as if it were a professional service.
- Don't try to access other people's accounts or data, breach security, overload the service, extract the catalog or the videos in an automated way, reverse engineer the app or resell access.
- Don't upload unlawful content or use the app to bother anyone. Vadonaa has no community or chat: the only thing you type in the app is the name you want us to greet you by, and only you see it.
- If you breach this chapter we may suspend or close your account. We warn you first when possible and we always tell you why.
XIII. Intellectual property and your data
- The app, its design, the exercise catalog, the texts and the software belong to Vadonaa or its licensors and are protected by Mexico's Federal Copyright Law and Federal Law for the Protection of Industrial Property. "Vadonaa" and the ring are trademarks with registration pending before the Mexican Institute of Industrial Property (IMPI), which we use with their owner's authorization. The exercise videos are generated with artificial intelligence tools from our own illustrations; the selection, arrangement and editing of the catalog are ours, and no license in these terms allows you to copy or redistribute them.
- We grant you a personal, limited, non-exclusive, revocable and non-transferable license to use the app on your devices, with your account and for your personal purposes, while you have a current subscription or trial. You may not copy, sell, redistribute or modify the app or its content.
- What you log is yours: your profile data, your sessions and your weights. You give us permission to use it to provide the service and, in aggregates that don't identify you, to measure and improve the service, as the Privacy Notice explains. You can request a copy or delete it whenever you want.
- If you send us an idea or a suggestion, we may use it to improve Vadonaa without an obligation to pay you, unless we agree otherwise in writing.
XIV. Availability and changes to the service
- We work to keep Vadonaa running always, but there may be maintenance, failures or interruptions. We don't guarantee uninterrupted availability. If something fails on our side, we say so in the app and fix it as soon as possible.
- We may improve, change or remove features. If a change removes something essential from what you already paid for, we notify you at least 15 days ahead and you can choose between continuing or canceling; if you cancel because of that change, we refund you the proportional part of the period you don't use (chapter X, point 6).
- Some features depend on third parties (Apple, Google, the model provider, the hosting). If one of them fails, we do what is in our hands to restore the service.
- If one day we stopped offering Vadonaa, we would notify you at least 30 days ahead, no further renewal would be charged, and we would refund you the proportional part of the period you can't use, as chapter X, point 6 says.
XV. Liability
- What doesn't depend on us. We answer for what is ours under the law. We don't answer for:
- injuries or damages resulting from your decision to do an exercise, the technique you used, continuing to train in pain, or not consulting a professional when you should have;
- consequences of false or incomplete data you gave us;
- results you expected that didn't come, because we don't promise them (chapter II).
- Nothing in this chapter excludes or limits liability that the law doesn't allow to be excluded or limited: neither the non-waivable rights under the LFPC (articles 1 and 90), nor liability for willful misconduct or gross negligence, nor our responsibility for your personal data.
- If Vadonaa doesn't deliver what it offers, you have the right to demand performance, to the compensation under article 92 Ter of the LFPC (no less than twenty percent of the price paid) and, where applicable, to a refund under the law and under chapter X, point 6.
XVI. Termination
- You may end this contract whenever you want: cancel your subscription (chapter VIII) and, if you want, delete your account (chapter IV).
- We may suspend or close your account if you breach these terms seriously or repeatedly, if you use the app to cause harm, or if the law requires us to. We notify you by email and tell you the reason, unless notifying you would put other people or the service at risk. Closing your account doesn't cancel your subscription in the store: in that same email we tell you how to cancel it so the next period isn't charged.
- Effects. When it ends, you lose access to the app. Your data follows the path of the Privacy Notice (12 months of retention, or immediate deletion if you ask). If we close your account for a cause that isn't yours, we refund you the proportional part of the period you can't use, as chapter X, point 6 says.
- The chapters on intellectual property, liability, governing law and whatever by its nature should remain in force survive termination.
XVII. Changes to these terms
- We may update these terms to reflect changes in the app, in the law or in how we work.
- If the change affects your rights or obligations, we notify you by email and in the app at least 15 days ahead, we tell you what changed, and we ask you to accept the new version before you keep using the app after that date. If you don't accept it, you can cancel and the next period isn't charged.
- If you don't agree with the change, you can cancel your subscription before it takes effect and the next period won't be charged. No change applies to a period you already paid for.
- We never change the terms "by posting": a change we didn't notify you of doesn't bind you.
- The current version, with its number and date, is always at vadonaa.com/terminos (and in English at vadonaa.com/en/terms).
XVIII. Apple's conditions (and Google Play's)
If you download or use Vadonaa from the App Store, the following also applies, as Apple requires of every app with its own terms:
- These terms are between you and Vadonaa, not with Apple. Apple is not responsible for the app or its content.
- Scope of license. The license in chapter XIII is limited to using the app on Apple devices you own or control, as permitted by the App Store Usage Rules, except that other accounts in your Family Sharing group may access it when that feature is enabled.
- Maintenance and support. Vadonaa is solely responsible for providing maintenance and support for the app. Apple has no obligation to do so.
- Warranty. Vadonaa is responsible for any warranty that applies to the app. If the app fails to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price of the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation, and any other claim, loss or expense attributable to that failure is Vadonaa's responsibility.
- Product claims. Vadonaa, not Apple, is responsible for addressing any claim by you or a third party relating to the app or your use of it, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
- Intellectual property. If a third party claims that the app or your use of it infringes their intellectual property rights, Vadonaa, not Apple, is solely responsible for investigating, defending, settling and discharging that claim.
- Legal compliance. You represent that you are not located in a country subject to a US government embargo or designated by the US government as a "terrorist supporting" country, and that you are not on any US government list of prohibited or restricted parties.
- Name and address. For questions, complaints or claims about the app: Vadonaa, S.A.S. de C.V., Colima, Colima, Mexico, phone pending, soporte@vadonaa.com.
- Third-party terms. When using the app you must comply with applicable third-party terms, such as those of your data carrier or the App Store.
- Apple as third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these terms. Upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
If you download Vadonaa from Google Play, these terms are between you and Vadonaa, not with Google; Google is not responsible for the app or its content, and your purchase in Google Play is also governed by the Google Play Terms of Service.
XIX. Governing law, PROFECO and courts
- These terms are governed by the federal laws of the United Mexican States.
- As a consumer you may go to the Federal Consumer Protection Agency (PROFECO) for conciliation or a complaint, by phone, online or at its offices. It is free and you don't need a lawyer.
- If the dispute isn't resolved there, you choose: you may go to the competent courts of your domicile or to those of the city of Colima, Colima, Mexico. If we sue you, we will do so before the courts of your domicile. There is no mandatory arbitration and no foreign courts.
- If you use Vadonaa outside Mexico, you may also be protected by the consumer rules of your country that cannot be waived. These terms don't replace them.
- These terms are written in Spanish and also in English (vadonaa.com/en/terms). If the app or our site shows them in another language and there are differences, the Spanish version prevails, except as point 7 says for people who live in the United States.
- If any part of these terms turns out to be invalid, the rest remains in force.
- If you live in the United States. These terms are also available in English; for you, the English version is as valid as the Spanish one, and if they differ, the one more favorable to you applies. In addition to the points above, you are protected by the consumer protection and privacy laws of your state that cannot be waived, and you may bring a claim in the courts of your county of residence, including small claims court. There is no mandatory arbitration and no class action waiver.
